Terms and Conditions
About Us and Application
These Terms and Conditions apply to the provision of consultancy, training and related services by AP Safety Solutions Ltd (company number 16218154), of 208 Outwood Common Road, Billericay, Essex CM11 2LG ("we", "us", "our") to business clients ("you", "your"). They apply to all quotations we issue and all services we deliver unless we agree otherwise in writing.
Quotations and Scope
Quotations are valid for the period stated therein. The scope of work is limited to the services explicitly described in our accepted quotation or statement of work. Any additional requirements will be subject to a new or amended quotation.
Company Training Bookings
We specialize in private company training bookings. A minimum of three candidates is required for all company-specific training sessions unless otherwise agreed in writing.
Client Responsibilities and Accurate Information
You must provide us with all information and access necessary for the performance of the services. You represent that all information provided is accurate and complete. We are not liable for any issues arising from inaccurate or incomplete information provided by you.
Fees, Invoicing and Payment
Fees are as specified in the accepted quotation or relevant invoice. Payments must be made in accordance with the terms specified on the invoice. We reserve the right to charge interest on late payments in accordance with statutory rates.
Cancellation and Rescheduling
Requests for cancellation or rescheduling must be provided in writing. Specific charges or conditions for cancellation and rescheduling are governed by the details specified in your accepted quotation.
Availability and Changes
All services are subject to availability. While we make every effort to deliver services on the agreed dates, we reserve the right to change dates or trainers due to unforeseen circumstances, providing as much notice as possible.
Attendance, Assessment and Certification
Certification is subject to candidate attendance, successful assessment where required, and strict adherence to the rules prescribed by relevant awarding bodies.
Site Access, Safety and Client Facilities
Where services are delivered at your site, you must ensure a safe working environment and provide adequate facilities (including training rooms and equipment as agreed) to enable the safe and effective delivery of the services.
Competent Associates and Specialist Support
We reserve the right to utilize competent associates or specialist support to assist in the delivery of services where required to ensure high standards of quality and expertise.
Intellectual Property
Unless otherwise agreed, intellectual property rights in all training materials, reports, and documentation provided by us remain our property or the property of our licensors. You are granted a non-exclusive license to use these materials for internal business purposes only.
Confidentiality and Data Protection
Both parties agree to treat all commercial and technical information as confidential. All personal data will be processed in accordance with the UK GDPR and our Privacy Policy.
Liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited. Subject to this, liability will be determined by the applicable law and the written agreement for the relevant service. We are not responsible for indirect or consequential losses where the law permits their exclusion.
Force Majeure
We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from any cause beyond our reasonable control.
Termination
We may terminate the provision of services immediately if you fail to pay fees when due or breach any material term of these Conditions.
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales and the parties submit to the exclusive jurisdiction of the English courts.
